Terms of Service

Use of the calendar tool and any component of Hubvine.com is an agreement (legal contract) with Hubvine LLC (hereafter called Hubvine). The use of our services and sites constitutes an unconditional acceptance of the following terms and conditions provided you are of legal age to form a binding contract and you are not barred from receiving services under the laws of The State of Texas, The United States or any other applicable jurisdiction.

Modifications and Notice

Hubvine may from time to time modify these terms and post a copy of the amended Agreement at http://www.hubvine.com/termsofservice.html. If you do not agree to (or cannot comply with) the Agreement as amended, your only remedy is to stop using the Service or, if applicable, cancel your Subscription Service. You will be deemed to have accepted the Agreement as amended if you continue to use the Service after any amendments are posted.

Registration

To use the Service, you will generally be required to register and provide certain information, including a member (user) name, a password and a valid email address ("Registration Data"). You may also be required to provide billing and/or additional information. You agree to provide accurate Registration Data and to update your Registration Data as necessary to keep it accurate. In order to access the Service you may be required to first register for the Service online via your PC, laptop or other Internet-connected device (e.g., a "PC") that is not a phone or other product that utilizes mobile phone networks.

You agree that you will not allow others to use your member name, password and/or account and you are solely responsible for maintaining the confidentiality and security of your account. You agree to notify Hubvine immediately of any unauthorized use of your password and/or account. Hubvine shall not be responsible for any losses arising out of the unauthorized use of your member name, password and/or account and you agree to indemnify and hold harmless Hubvine, its partners, parents, subsidiaries, agents, affiliates and/or licensors, as applicable, for any improper, unauthorized or illegal uses of the same.

Payment Terms

By completing a Subscription Service registration, you authorize Hubvine to charge applicable recurring subscription fees to your designated billing payment method. Monthly subscribers are billed on a monthly cycle (though Hubvine may also offer multi-month, annual and other tiers, in which case you will be billed according to the subscription cycle that you registered for), which begins upon Subscription Service registration (or at the end of a limited free trial period, if applicable to a promotion that you joined through) and ends 30 days (or annually for annual members or otherwise depending upon your tier) thereafter (each a "Subscription Period") Hubvine will charge your billing payment method for each applicable installment without further advance notice. If your billing payment method changes during the term of your subscription plan, you must immediately update the billing payment method associated with your Hubvine account. If Hubvine is unable to charge your billing payment method for an installment, Hubvine may: (i) immediately suspend or terminate your Hubvine account, (ii) seek collection of the outstanding amount owed under the subscription plan and/or (iii) seek legal action against you for breach of this Agreement.

Right to Change Subscription Fees

All subscription fees are subject to change on a prospective basis upon notice from Hubvine.

Cancellation

To cancel any subscription to Hubvine you must enter the billing screen and either remove your payment method or click on a new Plan or Subscription rate. Hubvine will not refund any remaining portion of your subscription fees. Cancellation will take effect at the end of the billing period during which you deliver notice to Hubvine. Please note that, following cancellation of your subscription, any data you have added to the website will remain, and you will be downgraded to the “free” version. The data and tools associated with paid subscription plans will remain but will not be accessible.

Termination

Hubvine reserves the right to modify or delete any content, data, or links it deems inappropriate or harmful to Hubvine and its users. Hubvine reserves the right to terminate your account at any time and without notification if we feel that our terms are being violated or if your account activity jeopardizes the integrity of the service. If you have a question about these services, please contact us at support@hubvine.com. You agree that Hubvine may at any time and for any reason, including a period of account inactivity, terminate your access, terminate the Terms, or suspend or terminate your account. In the event of termination, your account will be disabled and you may not be granted access to Hubvine, your account or any files or other content contained in your account.

Disclaimer Of Warranties

You agree that your use of Hubvine’s services shall be at your sole risk. Services are provided on an as-is, as available basis. There is no warranty express or implied. No information or assistance, whether written or oral, provided by Hubvine or any third party to you shall create any warranty.

Links to Third Party Websites

The Service and any Hubvine website may present links to third-party websites not owned or operated by Hubvine. Hubvine is not responsible for the availability of these sites or their contents. You agree that Hubvine is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content of any such site or goods or services available through any such site. Hubvine reserves the right to modify, delete, or change any links to 3rd party sites that Hubvine deems inappropriate or in violation of the Terms of Service.

Modifications to The Services

Hubvine reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice to you, without any liability to you or to any third party.

Limitation Of Liability

Hubvine shall not be responsible for any damages arising from your use of Hubvine’s services or by your inability to use Hubvine services. You expressly understand and agree that Hubvine shall not be liable to you for any special, incidental, indirect, consequential or exemplary damages including but not limited to, damages for loss of profits, data or other intangible losses (even if Hubvine or its partners have been advised of the possibility of such damages) from: (i) The use or inability to use Hubvine’s services; (ii) The cost of procurement of other services or goods resulting from any goods, data, information or services purchased from a Hubvine message, post, or Hubvine user; (iii) unauthorized use of Hubvine; (iv) The cost of procurement of other services or goods to replace data entered or modified at Hubvine; (v) Any other matter related to Hubvine.

Limitation of Damages

The amount of damages shall not exceed the amount paid in one month (one monthly billing cycle) to Hubvine.
